Terms of Service – (850) 900-1349

These Terms of Service (“Terms”) govern your access to and use of the software, web application, and mobile applications provided by Chelly Inc. (“Chelly,” “we,” “us,” or “our”) (together, the “Service”). By using the Service, you agree to these Terms.

1. Accounts

Accounts are created by invitation from your company’s administrator. You are responsible for keeping your login credentials confidential and for activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

2. Acceptable use

You agree to use the Service only for lawful business purposes and not to misuse it, interfere with its operation, attempt to access it in an unauthorized way, or use it to violate the rights of others.

3. Your content

You retain ownership of the projects, plans, estimates, photos, and other content you enter into the Service. You grant Chelly the limited rights necessary to host, process, and display that content in order to operate the Service for you.

4. SMS / text‑message terms

Chelly offers an optional text‑message program that sends account‑related notifications to users who opt in. These terms govern that program:

Program description: Automated, transactional text messages about your account and work in the Service — for example, that an AI takeoff you uploaded is ready to review, or that a project needs your attention.
Enrollment: You enroll by entering your mobile number and checking the SMS opt‑in box in your Chelly profile, on the web or in the mobile app. This is express consent to receive automated texts at that number. Consent is not a condition of purchase or of using the Service.
Message frequency: Varies based on your activity.
Cost: Message and data rates may apply. Chelly does not charge for the texts, but your mobile carrier may.
Opt‑out: Reply STOP at any time to end messages, or switch the opt‑in off in your profile. After you opt out we will send one confirmation message and then stop.
Help: Reply HELP for assistance, or contact support@chellyinc.com.
Carriers: Supported carriers include major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
Privacy: Your mobile number and opt‑in consent are handled as described in our Privacy Policy and are never shared with third parties for marketing.

5. Service availability

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features from time to time.

6. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

7. Limitation of liability

To the fullest extent permitted by law, Chelly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Service.

8. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
